Terms and Conditions

 

  1. Event Processing CoP Sponsors are entitled to the basic Membership Benefits and special Sponsorship Benefits:

    Basic Membership Benefits
     

    • Connect with industry peers in open forums and working groups focused on the opportunities and challenges of real-world Event Processing CoP adoption.

    • Influence technology providers, service providers and standards organizations on issues critical to your organization’s Event Processing CoP success.

    • Attend and vote at all general and special meetings of the Membership.

    • Nominate one representative to serve on the Event Processing CoP Steering Committee, subject to election.

    • Propose s to be acted upon by the Event Processing CoP Steering Committee.

    • Join mail lists, forums and other collaborative media provided by the Event Processing CoP.

    • Placement of a link to such Member’s Web site on the Event Processing CoP Web site.

    • Display the Event Processing CoP logo on your Web site, to indicate membership in the Event Processing CoP.

    • Such other benefits, rights and privileges as OMG or the Event Processing CoP Steering Committee may from time to time approve.

  1. Conditions of Membership and Authorization - This agreement is a binding contract between your organization and the Event Processing CoP and commits your organization to (i) payment of annual Membership fees as established from time to time and (ii) compliance with such rules and policies as the Event Processing CoP may from time to time adopt. You will enjoy the rights and benefits established from time to time for Event Processing CoP Members. Membership fees are non-refundable and membership is non-transferable. Members are expected to comply with all applicable laws and regulations, including U.S. laws regarding Antitrust. All references to the Event Processing CoP in this application shall be deemed to refer to OMG and the Event Processing CoP activity of OMG.
     

  2. Term and Termination - The term of this agreement shall be 12 months from the date of signature below, and you may renew it for additional 12-month terms by paying the applicable annual membership fees. You may at any time terminate your membership by providing written notice of termination to OMG, provided that upon such termination you will not be entitled to receive a refund of membership fees.
     

  3. Permission to Use Consortium Materials - The Event Processing CoP grants to each Member, so long as it remains a Member in good standing, a nonexclusive, royalty-free, paid up, worldwide license to copy and distribute Consortium materials and to modify such materials and distribute copies of the modified version. Materials that are reproduced without substantive change must retain the Consortium copyright notice and may add the words "used with permission". Materials that are substantially modified by the Member may bear the Member's copyright notice and must contain the acknowledgement "Based on materials from the Event Processing CoP - http://www.business-ecology.org.  Used with permission." Members do not need case-by-case permission to use Consortium materials. The Consortium reserves the right to permit non-members to use Consortium materials on a case-by-case basis.

  4. Logos and Names - You grant OMG the right to use your organization’s name and logo on the OMG and Event Processing CoP websites and on related marketing materials, solely to indicate your membership in the Event Processing CoP.

  5. Confidential Information - All information disclosed at any Event Processing CoP meeting, and all submissions to the Event Processing CoP, will be deemed to be public information that has been disclosed without any restrictions on use by anyone. No valid copyright or patent right will be deemed to have been waived by such disclosure. If you want to keep certain information confidential, do not disclose it at a Event Processing CoP meeting or in a submission to the Event Processing CoP.

  6. Patent Rights - The Event Processing CoP is not in the business of adopting specifications or specifying technologies. Therefore, the Event Processing CoP: (i) takes no position on any patent rights that may apply to any technology used or proposed by any Event Processing CoP Member, (ii) neither seeks nor grants any license rights in any such technology, and (iii) does not require that any Event Processing CoP Member disclose patent rights that it may have in any technology.

  7. Copyright in Materials Submitted to the Event Processing CoP - With respect to any material you submit to the Event Processing CoP: (i) copyright is held jointly by you and the Event Processing CoP (each as to its own contributions), and (ii) you will be deemed to have granted to the Event Processing CoP a nonexclusive, royalty-free, paid up, worldwide license to copy and distribute the document and to modify the document and distribute copies of the modified version.

  8. Miscellaneous - Any amendment or modification to the agreement must be in writing signed by both parties. This agreement and all matters relating thereto shall be governed by the laws of the Commonwealth of Massachusetts without regard to that state’s choice of law principles. Your organization has caused this agreement to be executed by its duly authorized representative as of the date shown below.
